company acquired, Help pls, I-140 amendment I-140amendment2007-08-04 18:32:30

My company was acquired after my the approval of I-140. Now I am ready to file I-485. My lawyer suggest:
1) file I-140 amendment and I-485 together
2) file I-485 or I-140 separately
3) don't bother to file I-140.
I am in Texas center.

Which one is better? What document is needed for the proof of successor in interest? I only have a letter state that way?
